How a Milan formation runs, step by step

  1. Prerequisites in hand

    Codice fiscale, legalised and translated documents, any power of attorney, both PECs and the Milan address. Who: the founder, with our coordination. When: before the clock starts.

  2. Deed and statuto

    One sitting: in person, by attorney or by videoconference for a cash-capital S.r.l. or S.r.l.s.; when every party lives abroad the notary must proceed (Art. 2(1), 2(4) D.Lgs. 183/2021).

  3. Single filing to the Milan Register

    The notary files the Comunicazione Unica through DIRE within 10 days of the deed (Art. 2330 c.c.): Register entry, partita IVA, INPS, INAIL and any SCIA.

  4. First Milan annual fee

    The company pays EUR 120 for 2026, debited on the electronic filing or paid by F24 within the following 30 days.

  5. Entry at the Milan Register

    At most 5 days from protocol for an electronic application (Art. 11(8) D.P.R. 581/1995); legal personality follows on entry. The Milan stop: without the director's own PEC, the application is suspended.

  6. Confirmations

    The chamber confirms the registration to the company's PEC within 5 days; the Agenzia delle Entrate, INPS and INAIL each give their outcome within 7 days.

  7. After the entry

    The start date goes to the REA within thirty days of the start; the Milan SUAP is used only where the activity needs a municipal authorisation (Milan chamber start-up guide).

Without the director's own PEC, the Milan Register suspends the incorporation application, asks for regularisation and may then refuse it. We set that PEC up before the deed.

Frequently asked questions

Can I open a company in Milan without travelling to Italy?

Yes, for an S.r.l. or S.r.l.s. with its seat in Italy and capital paid in cash. The deed may be signed by videoconference on the notaries' platform, and the notary must proceed when every party lives abroad (Art. 2(1) and 2(4) D.Lgs. 183/2021). The codice fiscale and the legalisation of documents are arranged from abroad first.

Can I open a company in Milan online?

Largely. The deed by videoconference and the single filing through DIRE are both electronic, and the chamber confirms the registration to the company's PEC. What stays offline is the codice fiscale request at an Italian consulate and, where foreign documents are used, their apostille or legalisation and certified translation. No official duration exists for those steps.

Can I open a company in Milan for free?

No. An S.r.l.s. on the standard model pays no notarial fees, stamp duty or secretarial fees on the deed and the Register entry (Art. 3(3) D.L. 1/2012). The Milan chamber's annual fee of EUR 120 for 2026 still applies to it, as to every new capital company (Milan chamber).

What does the state charge to form an S.r.l. in Milan in 2026?

EUR 200 registration tax (Art. 26(2) D.L. 104/2013), EUR 156 stamp duty on the deed, EUR 65 Register stamp duty, a EUR 90 secretarial fee in the Romagna chamber's 2026 table and the Milan annual fee of EUR 120 (Milan chamber). Is the 2026 uplift added on top of the EUR 120?

No. The Milan chamber states that the EUR 120 for a new capital company already includes the 20% uplift: the 2014 measure is cut by 50% and then raised by 20%. The MIMIT decree of 17 March 2026 authorised the uplift, and it entered into force in Milan on 28 April 2026 (Milan chamber).

When is the first annual fee paid?

At the filing, where it is debited automatically on an electronic filing, or by F24 within the following 30 days (Milan chamber, 2026). A company that has not paid by then may cure the delay by ravvedimento operoso under Art. 6 D.M. 27/01/2005 n. 54. We set out the amount and the channel before the filing.

Do I need the SUAP to open a company in Milan?

Only where the activity needs a municipal authorisation before it starts (Milan chamber start-up guide). Since 30 September 2024 the Milan SUAP has been run by the Chamber of Commerce Milano Monza Brianza Lodi under an agreement, the Comune di Milano states, and a SCIA can travel in the single filing.

Can a foreigner open a company in Milan?

Yes. A non-EU founder or director living abroad is subject to reciprocity, which the notary checks (Art. 16 disp. prel. c.c.); the Italian embassy in the home country can confirm it. One living in Italy shows a valid residence permit of the kinds the Milan chamber lists (D.Lgs. 40/2014; D.Lgs. 3/2007).

Which chamber registers a company seated in Milan?

The Chamber of Commerce Milano Monza Brianza Lodi, which keeps the Register for the provinces of Milan, Monza Brianza and Lodi (Milan chamber). The notary files the deed with the Register of the district of the registered office (Art. 2330 c.c.), and the same chamber collects the company's annual fee (L. 580/1993 Art. 18).

Does opening a company in Milan let me live in Italy?

No. Owning or directing an Italian company gives no right of residence; residence needs a visa or a permit, and a non-EU founder living in Italy shows that permit to the Milan chamber. The investor route is a separate file, set out under the Italian golden visa.
